1 INTRODUCTION
1.1 Issuer
The issuer of the InDoc EDGE Cloud Terms of Service is the company Mikrocop d.o.o., located at Ulica Ambrožiča Novljana 7, 1000 Ljubljana, Slovenia.
1.2 Subject of the Terms of Service
The InDoc EDGE Cloud Terms of Service regulate the mutual rights and obligations between the service provider and the client of the InDoc EDGE Cloud service.
1.3. Definitions
The terms used in these Terms of Service have the following meanings:
InDoc EDGE Cloud Service refers to a cloud-based document management system owned by the Service Provider, which operates on the InDoc EDGE software certified by the Archives of the Republic of Slovenia to support the entire process of managing documentary material in digital form throughout its life cycle. It is used for the legally compliant capture and electronic storage of documents. The InDoc EDGE's features include capturing documents and metadata, classifying and defining metadata, reviewing and searching content, sharing and collaborating on content, document approval, electronic document signing, business process planning and task execution, as well as the electronic storage of original or captured documentary material, ensuring usability and authenticity of the stored content, sorting and transferring materials to the national or regional archives, and disposing of documents after the retention period. InDoc EDGE is available as a web and mobile application, with the latter offering a limited set of features. The Client can only use the features included in the selected business package.
Accompanying Service refers to the service of sorting, converting file formats for long-term storage, organizing, destroying, providing secure spaces, and other services that do not constitute storage or capture services.
Content refers to electronic documents and other files, tasks, metadata, comments, audit trails, and other records created, uploaded, or stored by Users through the InDoc EDGE. The Content is owned by the Client.
Cloud refers to the infrastructure owned by the Service Provider, designed to ensure the operation and performance of the InDoc EDGE. The Client shares infrastructural resources with other Clients. A detailed description of the Service Provider's cloud, operational procedures, infrastructure management, and performance monitoring is governed by the Service Provider’s internal policies and certified by ISO 27001 and ISO 9001 standards.
Service Provider is the company Mikrocop d.o.o., located at Ulica Ambrožiča Novljana 7, 1000 Ljubljana, Slovenia, registration number: 5346410, VAT number: SI96627751.
Client refers to a legal entity that has entered a contract with the Service Provider for the use of the InDoc EDGE and is responsible for using the InDoc EDGE in accordance with the Terms of InDoc EDGE and the InDoc EDGE Documentation, including managing Content and Users, and controlling user access rights and permissions within the InDoc EDGE.
Authorized Person of the Client as defined in the InDoc EDGE contract, is responsible for executing the the InDoc EDGE contract, adhering to the Terms, and communicating with the Service Provider.
User refers to a person with a user license and a unique email address, who is granted access to use the InDoc EDGE and access Content.
User with administrative privileges refers to a User who, in addition to standard user rights, has additional rights for managing (administering) the InDoc EDGE. A User with the role of Organization Administrator or Process Manager requires an additional user license, which can be assigned to the same email address. The User with administrative privileges must be adequately trained to perform administrative interventions within the InDoc EDGE.
User Rights are a set of permissions that allow the User to access Content and use the features of the InDoc EDGE within the selected business package. User rights determine what a user can and cannot do within the InDoc EDGE and define the permissions based on the User's role.
Integration User is a unique User with a dedicated user license for logging in and accessing the Integration with the InDoc EDGE.
External User is a person with temporary access to Content, granted by a User. Upon completing the task or the expiration of shared Content availability, the External User loses the ability to use the InDoc EDGE and access the Content.
InDoc EDGE Activation is performed by the Service Provider after the conclusion of the InDoc EDGE contract and fulfillment of all conditions for using the InDoc EDGE.
CPU User Portal is a user portal through which Users authorized by the Client submit technical, user, or business requests and complaints. The CPU portal allows the Client to track the status of resolving requests. Requests that are not due to an InDoc EDGE malfunction are charged according to the Price List. The CPU portal is accessible at https://cpu.mikrocop.com.
InDoc EDGE Availability is defined as the proportion of time during which Users can use the InDoc EDGE without interruptions, excluding planned outages due to regular maintenance work.
InDoc EDGE Unavailability is defined as the proportion of time during which Users cannot use the InDoc EDGE without interruptions due to errors, failures, or other unplanned events.
Force Majeure refers to any unforeseeable and exceptional circumstance beyond the control of the Service Provider and the Client, which cannot be attributed to their fault or negligence and, despite all due care, cannot be prevented or eliminated (e.g., natural disasters, war, epidemic). The Service Provider will notify the Client of such an event as soon as they become aware of it and will provide the start date and nature of the event, as well as a reasonable estimate of the time required to restore normal conditions.
Internal Rules for Service Implementation are internal legal acts of the Service Provider that govern the method of storage and Accompanying Services. The Client may request to review these rules at the Service Provider’s location.
Timestamping is an electronic service provided by a Time Stamping Authority (TSA), which the InDoc EDGE uses to provide legally valid proof that the Content existed at a certain point in time and has not changed since the timestamp. The InDoc EDGE timestamps all documents created or captured on the current day and ensures the renewal of the timestamp upon its expiration.
Electronic Signing refers to the process of adding electronic signatures to a document, which includes verifying and confirming the identity of the signatory and ensuring the integrity and authenticity of the electronically signed document. The InDoc EDGE uses third-party signature platforms and trust services for electronic signing.
Trust Service is an electronic service that includes the creation of electronic signatures. A Qualified Trust Service meets the relevant requirements of the eIDAS regulation.
Electronic Signature is a set of data in electronic form that is attached to or logically associated with other electronic data and used by the signatory to sign. There are various types of electronic signatures: simple, advanced, and qualified. The choice of the appropriate type of electronic signature, which meets legal or contractual obligations or business needs, is the responsibility of the User who initiates the Electronic Signing.
Simple Electronic Signature does not provide a unique link between the signatory and the signature, and additional evidence is needed during the process to verify the connection. The InDoc EDGE, through third-party providers, supports various methods of creating a simple signature: click to sign, draw to sign, signature on a sign pad, signature using a digital certificate whose issuer is not listed on the EU Trusted List (EUTL), or signature through a trust service that only enables a simple signature.
Advanced Electronic Signature is uniquely linked to the signatory, allows their identification, and detects any subsequent changes to the signed content. The InDoc EDGE, through third-party providers, supports two methods of creating an advanced signature: signature using a digital certificate whose issuer is listed on the EU Trusted List or signature through a trust service that enables an advanced signature.
Qualified Electronic Signature is an advanced electronic signature created with a qualified signature creation device (QSCD) and based on a qualified certificate for electronic signatures. The InDoc EDGE, through third-party providers, supports two methods of creating a qualified signature: signature using a digital certificate whose issuer is listed on the EU Trusted List and the digital certificate is issued on a QSCD or signature through a trust service that enables a qualified signature. While electronic signatures are legally recognized and binding within the EU, only a qualified electronic signature has the same legal standing as a handwritten signature.
Integration connects the InDoc EDGE with another information system using APIs for content synchronization, business process automation, and increasing the efficiency of the Client’s operations.
API (Application Programming Interface) provided by the Service Provider enables Integration and is not an essential part of the InDoc EDGE necessary for its flawless operation.
Client Notification involves notifying the Authorized Person of the Client or Users. The Service Provider will notify the Authorized Person via email at the address specified in the InDoc EDGE contract, by post to the Client's registered address, or through the CPU portal. The Service Provider will notify Users through system notifications within the InDoc EDGE.
InDoc EDGE Website is available at https://indocedge.com.
Price List refers to the Service Provider’s current price list for using the InDoc EDGE, defining the included features and volumes of business packages and purchased support packages, including advance support for Users, response time, and the general service level.
InDoc EDGE Documentation includes release notes of new InDoc EDGE versions and user and technical guides for the InDoc EDGE.
Terms of Service govern the mutual rights and obligations of the Service Provider and the Client and include the provisions of the InDoc EDGE contract, the InDoc EDGE Documentation, instructions from the Service Provider (sent to the Authorized Person before or upon InDoc EDGE activation, updates, or when needed), and other policies such as the Privacy Policy, Terms of Use, and Cookie Policy, all available on the InDoc EDGE Website. The purpose of the Terms is to ensure a clear understanding of the use of the InDoc EDGE, including the conditions for entering, modifying, and terminating the contractual relationship between the Client and the Service Provider, the rules, conditions, limitations, and acceptable use of the InDoc EDGE, the terms for monitoring InDoc EDGE use and ensuring the general service level, and other rights and obligations of the Service Provider and the Client, as well as the billing terms for using the InDoc EDGE.
2 GENERAL PROVISIONS
2.1 Acceptance of the Terms
By using InDoc EDGE, the Client confirms that they accept and agree to comply with all provisions of the Terms. The Terms are an integral part of the InDoc EDGE contract between the Service Provider and the Client.
2.2 Changes to the Terms
The Service Provider reserves the right to modify the Terms at any time. The Service Provider will notify the Client of any changes to the Terms at least forty-five (45) calendar days before the changes take effect, via email.
If the Client disagrees with the changes, they may terminate the InDoc EDGE contract in writing before the effective date of the changes, with a six-month (6-month) notice period starting from the day the Service Provider receives the Client's statement rejecting the changes. Continued use of the InDoc EDGE after the effective date of the revised Terms will be considered acceptance of the changes.
2.3 Limitations of Liability
The Service Provider offers the InDoc EDGE "as is" and as described in the InDoc EDGE Documentation. The Service Provider guarantees the features, reliability, and availability of the InDoc EDGE to the extent specified in the Terms and the InDoc EDGE Documentation, according to the selected business package and support package of the Client.
The Service Provider commits to delivering the InDoc EDGE within the framework outlined in the general service level and strives for uninterrupted and error-free operation but does not guarantee that the InDoc EDGE will always function without interruptions or errors. The Service Provider reserves the right to intervene immediately in the InDoc EDGE in case of discovered security vulnerabilities or errors.
Upon the Client's request, the Service Provider facilitates the conversion of file formats for long-term storage. However, the Service Provider does not guarantee the ability to convert all documents. Limitations in converting to formats suitable for long-term storage may be due to specific file formats or the characteristics of the document itself. The Service Provider will make every effort, with the due care of a professional, to ensure successful conversion. Reports on successful and failed conversions will be made available to the Client.
The Service Provider is not responsible for:
The content stored by the Client in the InDoc EDGE.
Non-compliance with legal regulations for storing Content or the inability to prove the legal validity of the Content due to improper or unprofessional management of the Content by the Client within the InDoc EDGE.
Damage resulting from the use of the InDoc EDGE in violation of laws or contracts entered into by the Client.
Damage caused to the Client due to their failure to adhere to the Terms or the InDoc EDGE Documentation.
Damage caused directly or indirectly by the loss, theft, or misuse of User credentials by third parties.
Damage resulting directly or indirectly from improper administration of the InDoc EDGE by the Client, including content and user management, assigning and modifying access rights, assigning roles, and performing administrative tasks.
Damage caused directly or indirectly by disruptions, unavailability, or changes in the general terms, privacy policies, or business policies of third-party services integrated into the InDoc EDGE, which the Service Provider resolves as new Client requests.
Damage resulting from the loss of Content due to technical issues, force majeure, improper use of the InDoc EDGE by the Client, actions by a User with administrative privileges, or unauthorized access or misuse of the InDoc EDGE by the Client or third parties.
The Service Provider's liability for damage is limited to ordinary damages that would result from the Client's use of the InDoc EDGE due to the Service Provider's harmful actions and does not include lost profits, indirect, or consequential damages. The Service Provider and Client agree that the total liability of the Service Provider is limited to the amount the Client paid for using the InDoc EDGE in the three (3) consecutive months preceding the occurrence of the damage, starting from the month in which the damage occurred.
2.4 Protection of Trademarks and Copyright
The Service Provider reserves all rights. The InDoc EDGE, including all related materials, documentation, source code, binary files, images, logos, design, user interface, data, and other content, is subject to copyright protection under applicable copyright laws. The InDoc EDGE is owned by the Service Provider. Full or partial reproduction, creation of derivative works, publication, distribution, and use of these contents without the prior written consent of the Service Provider is strictly prohibited.
The trademarks InDoc EDGE and Mikrocop, along with all related logos, product names, services, and slogans, are protected trademarks of the Service Provider. The use of these trademarks without prior written permission from the Service Provider is strictly prohibited.
Violations may result in civil and/or criminal proceedings in accordance with applicable law. The Service Provider reserves the right to enforce its rights to the fullest extent permitted by law.
3 SERVICE PROVIDER'S RIGHTS AND OBLIGATIONS
3.1 InDoc EDGE Operation
The Service Provider commits to:
The InDoc EDGE operating in the Cloud within the European Union, ensuring that no Content stored in the InDoc EDGE is transferred to third countries unless explicitly required by the Client.
Providing appropriate technical, software, organizational, and security conditions in its environment to enable the use of the InDoc EDGE, as specified in the InDoc EDGE Documentation.
Notifying the Client of changes to the InDoc EDGE Documentation at least forty-five (45) calendar days before the changes take effect.
3.2 General Service Level
The Service Provider commits to:
Ensuring that all communication between the User and the InDoc EDGE is encrypted using internationally recognized and secure security protocols.
Providing access to the InDoc EDGE twenty-four (24) hours a day, every day of the week (24/7/365), except as specified in the Terms.
Ensuring the InDoc EDGE is available at least ninety-nine percent (99%) monthly.
Providing the Client with a report on the achieved availability level upon request.
Notifying the Client of planned regular maintenance work at least five (5) calendar days in advance.
Performing up to twelve (12) individual maintenance interventions annually (InDoc EDGE updates included), ensuring that all planned interventions occur during periods of low InDoc EDGE demand and that no single planned intervention lasts more than eight (8) consecutive hours.
Offering help and advice on using the InDoc EDGE in accordance with the selected support package, available on business days in Slovenia from 8:00 AM to 4:00 PM Central European Time (CET).
Starting to resolve issues within the response time specified in the selected support package, with a maximum of one (1) business day for critical errors, two (2) business days for major issues, and four (4) business days for minor disruptions. The response time begins when the Client submits the issue via the CPU portal and the Service Provider confirms receipt during business hours in Slovenia (8:00 AM to 4:00 PM CET).
Creating daily backups of all Content stored in the InDoc EDGE, retaining them for thirty (30) calendar days at two (2) separate locations from the primary location.
Ensuring continuous InDoc EDGE operation with a business continuity plan and system established within the Cloud.
3.3 Confidentiality of Information and Data Protection
The Service Provider commits to maintaining the confidentiality of all information accessed during the provision of the InDoc EDGE. Such information will only be used for the purposes of delivering the InDoc EDGE, and the Service Provider will prevent any intentional, unintentional, or other disclosure of this information to third parties without the Client’s consent. Confidentiality obligation remains in effect indefinitely.
In providing the InDoc EDGE, the Service Provider acts as a processor and will enter into a Data Processing Agreement with the Client (controller). This agreement is an integral part of the InDoc EDGE contract and takes precedence in case of conflicts regarding data protection.
Information about the Service Provider’s processing of personal data is published in the Privacy Policy available on the InDoc EDGE Website.
3.4 Exporting Content upon Termination of the InDoc EDGE Contract
When the InDoc EDGE contract ends, the Service Provider will retain the Client's Content in the InDoc EDGE for thirty (30) calendar days from the contract termination date. If the Client does not export the Content within this period, the Service Provider will irreversibly delete it.
The Client may request that the Service Provider exports the Content no later than fourteen (14) calendar days before the end of the contract. This service is charged according to the Price List.
After thirty (30) calendar days following the termination of the InDoc EDGE contract, the Service Provider will no longer store the Client's Content and will irreversibly delete or destroy any remaining copies without bearing any responsibility or liability.
3.5 Monitoring and Supervising the Use of the InDoc EDGE
Supervising the Use of the InDoc EDGE
The Service Provider will:
Conduct at least one (1) internal audit annually, carried out by professionally qualified internal auditors, to assess the InDoc EDGE's operation.
Commission an independent external audit annually, performed by certified information systems auditors, to assess the InDoc EDGE’s performance.
Conduct an independent external security review of the InDoc EDGE, performed by cybersecurity experts, at least once per year.
The Service Provider will allow the Client to conduct additional external audits upon request, but the Client agrees to cover the costs incurred by the Service Provider for such professional services and any costs related to the ordered external audits.
Monitoring the Use of the InDoc EDGE
The Client may allow the activation of user activity monitoring to improve the user experience. By default, user activity monitoring is not enabled. The Service Provider monitors InDoc EDGE use through a specialized tool designed for data capture, measurement, analysis, and reporting. This tool is locally installed in the Cloud, and the captured data does not leave the Cloud.
Content Scan with Antivirus Software
To ensure the security and integrity of the InDoc EDGE and Content, and to protect Users from potential threats, the Client may request that the Service Provider:
Scans uploaded Content with antivirus software to detect any malicious software or other security threats.
Notifies the Client if uploaded Content is flagged as dangerous and suggests steps to mitigate the security threat.
Deletes or quarantines uploaded Content identified as dangerous.
Temporarily disables access to the InDoc EDGE for Users who uploaded dangerous Content until the threat is resolved.
Implements additional security measures, including temporary or permanent restrictions on uploading Content for Users involved in repeated security incidents.
3.6 InDoc EDGE Updates
The Service Provider may modify, update, or improve the InDoc EDGE at any time, change system settings, or suspend specific features, either temporarily or permanently. Consequently, the Service Provider reserves the right to amend the Terms or the InDoc EDGE Documentation.
The Service Provider will notify the Client about planned InDoc EDGE updates:
At least thirty (30) calendar days before the expected release of the new version of the InDoc EDGE in the production environment.
At least five (5) calendar days before the actual release of the new version in either the pre-production or production environment.
The Service Provider may release the new version of the InDoc EDGE in the pre-production environment on any day after 8:00 PM Central European Time (CET) and in the production environment on a Saturday after 8:00 PM Central European Time (CET). The Client acknowledges that the InDoc EDGE will be unavailable during the release of a new version.
The Service Provider reserves the right to intervene in the InDoc EDGE immediately in the event of a discovered security vulnerability or error, without prior notice to the Client.
3.7 Ethical Commitments
The Service Provider is committed to maintaining high ethical standards and social responsibility in its business operations. To this end, the Service Provider will ensure the following:
Working Conditions: The Service Provider guarantees that all employees will have safe, healthy, and dignified working conditions. This includes fair pay, respect for working hours, the right to rest, the right to disconnect, and appropriate measures to ensure safety and health at work.
Equality and Diversity: The Service Provider is committed to promoting equal opportunities for all employees regardless of gender, age, race, nationality, religion, sexual orientation, disability, or any other personal circumstance. Discrimination or harassment in the workplace is not allowed.
Social Dialogue: The Service Provider supports and encourages open social dialogue between management and employees, as well as their representatives. All employees have the right to join and participate in unions and other worker organizations without fear of retaliation.
Social Responsibility: The Service Provider’s business practices will focus on supporting local communities, protecting the environment, and contributing to sustainable development. The Service Provider will strive to minimize negative environmental impacts and support initiatives that contribute to the well-being of the community.
Transparency and Ethics: All business decisions made by the Service Provider will be conducted with a high level of transparency and integrity. The Service Provider is committed to combating corruption, extortion, and other forms of unethical behavior.
4 CLIENT'S RIGHTS AND OBLIGATIONS
4.1 Conditions for Using InDoc EDGE
The Client agrees to:
Use the InDoc EDGE in accordance with the InDoc EDGE contract, the Terms, and the InDoc EDGE Documentation.
Implement the necessary organizational and technical measures to prevent the installation, use, or dissemination of spyware or malicious software, or any activities that may damage, disable, overload, or interfere with the operation of the InDoc EDGE or the Cloud.
Be responsible for the proper and secure use of the InDoc EDGE, and for protecting User access credentials. In the event of loss or misuse of such credentials, the Client will immediately notify the Service Provider through the CPU portal.
Ensure that Users with administrative privileges are properly trained for performing administrative tasks within the InDoc EDGE.
Notify the Service Provider of any assignments of administrative privileges to Users.
Prevent unauthorized use of the InDoc EDGE and any other hardware or software of the Service Provider.
4.2 User Login
The use of the InDoc EDGE is permitted only to Users who log in through one of the allowed and supported mechanisms as listed in the InDoc EDGE Documentation.
A User logging into the InDoc EDGE with a username and password can reset the password independently in case it is forgotten. Password reset requires a one-time password delivered via SMS, so the User needs a mobile number in their profile, and the Client must enable SMS notifications.
The Client agrees to safeguard User login credentials and implement the necessary organizational and technical measures to prevent the resale or unauthorized use of the InDoc EDGE by third parties.
If a User loses or has their login credentials stolen, they must immediately notify the Service Provider through the CPU portal and cancel the login credentials. The Service Provider charges for resetting the login credentials as per the Price List.
4.3 Login for External Users
External Users can log in only to the web application via a dedicated web link, sent to their email address, with a one-time password received via SMS or email. External Users can only log in until the shared Content is available or access is revoked.
4.4 Using the InDoc EDGE
Accessing the InDoc EDGE
The Client accesses the InDoc EDGE by selecting a business package as defined in the Price List, which specifies the included InDoc EDGE features and volumes. The features outlined in the Terms are not necessarily all included in the selected business package. The Client may change the selected business package at any time.
The Client can also select a support package upon registration or at any time thereafter and may change the support package as needed.
InDoc EDGE Administration
A User with administrative privileges must complete dedicated training provided by the Service Provider to ensure proper management (administration) of the InDoc EDGE. This includes but is not limited to managing Content and Users, assigning and changing access rights, assigning administrative privileges, and performing administrative tasks. Training for a User with administrative privileges is charged as specified in the Price List.
The Client may request the Service Provider to perform administrative and other tasks related to the use of the InDoc EDGE in accordance with the Price List.
Mobile Application
The InDoc EDGE is available as a mobile application for Android and iOS operating systems, with a limited set of features. The list of features for the mobile application is available on the InDoc EDGE’s website. The use of the mobile application must be authorized by the Client, and the User can download it from the official stores (Google Play or App Store). The mobile application cannot be used if the User logs in with the Organization Administrator role.
Content Sharing
With the Content Sharing solution, a User with access to Content can share it with other Users or designated External Users, while limiting their rights to use the Content and setting time limits for its availability. The inclusion of External Users in tasks is charged to the Client according to the Price List.
WOPI Protocol
The WOPI protocol (Web application Open Platform Interface) allows Users to use Microsoft Office for the web for viewing and collaboratively editing Content in Microsoft Word for the web, Microsoft Excel for the web, and Microsoft PowerPoint for the web, provided that the Content meets the conditions defined in the InDoc EDGE Documentation. The Client understands that Microsoft Office for the web is a Microsoft service governed by Microsoft’s terms of use and privacy policy. By using the WOPI protocol, the Client confirms that they have the appropriate license for Microsoft Office for the web.
WebDAV Protocol
The WebDAV protocol (Web-based Distributed Authoring and Versioning) allows Users to use Microsoft Office to view and edit Content in locally installed versions of Microsoft Word, Microsoft Excel, and Microsoft PowerPoint. The Client acknowledges that Microsoft Office is a Microsoft solution governed by Microsoft’s terms of use and privacy policy, and by using the WebDAV protocol, the Client confirms that they have the appropriate license for Microsoft Office.
APIs and Integrations
The Client agrees not to use the Service Provider’s APIs for:
Violating the Terms.
Developing Integrations if the API interfaces are not publicly published or are essential for the flawless operation of the InDoc EDGE as part of the InDoc EDGE.
Creating an application, integration, platform, or service that fully or partially replaces or competes with the InDoc EDGE.
Submitting or selling Content to third parties.
Circumventing contractual limitations on the use of the InDoc EDGE.
Damaging, disabling, overloading, or interfering with the InDoc EDGE's operations.
Compromising or degrading the security of the Content or the InDoc EDGE.
Testing the vulnerability of the Cloud and the InDoc EDGE.
Allowing unauthorized access to or use of the InDoc EDGE.
The Client agrees to adjust the Integration as instructed and recommended by the Service Provider if necessary.
Third-Party Products and Services
The InDoc EDGE may include paid third-party products and services such as document data capture, integrated trust services and signature platforms, or SMS-based one-time password services. Although the Service Provider includes these third-party products and services in the InDoc EDGE only after careful review and with due diligence, the Service Provider is not the owner or operator of these third-party products and services and therefore is not responsible for their availability, reliability, user experience, pricing policies, legal compliance, or information security. The Client acknowledges that the use of third-party products and services is governed by the privacy policies and business policies of the respective third parties, and these policies may change.
Work Organization in Case of InDoc EDGE Unavailability
In the event of InDoc EDGE unavailability, the Client is obligated, considering the purpose, nature, and limitations of their work process, to organize their activities in accordance with prior agreements with the Service Provider to ensure the quickest possible restoration of normal InDoc EDGE use and to minimize potential damage. If the Client fails to follow these agreements, they are solely responsible for any resulting damages.
4.5 Consent for Electronic Messages and Notifications
The Client understands and agrees that the Service Provider may send the following notifications to the Authorized Person of the Client and Users via email or as system notifications within the InDoc EDGE:
Notifications about the use of the InDoc EDGE, including notifications about new versions of the Content.
Notifications about InDoc EDGE updates, including new features and other improvements.
Announcements of InDoc EDGE updates in various Service Provider environments.
Invitations to presentations of updated InDoc EDGE.
Invitations to User meetings.
Other messages aimed at fulfilling the purpose of the Terms.
4.6 Client’s Responsibility
The Client is required to use the InDoc EDGE in a manner that complies with the Terms and the InDoc EDGE Documentation. The Client is responsible for any damage caused to themselves, the Service Provider, or other Clients due to the use of the InDoc EDGE in violation of the Terms or InDoc EDGE Documentation, or due to violations of legal obligations, EU regulations, or international community sanctions.
The Client is responsible for establishing proper procedures for managing Content within the InDoc EDGE throughout all phases of the Content's life cycle to ensure the legally compliant storage of Content in digital form and equivalency to the original documentary material.
The Client acknowledges that the InDoc EDGE enables legally compliant long-term storage of Content and all the features necessary to maintain the long-term preservation of Content, even in the event of changes in legislation or technical and technological requirements for content storage, as well as the correct disposal and destruction of Content after the expiration of its retention period.
4.7 Acceptable Use Policy
The Client agrees to use the InDoc EDGE in compliance with applicable laws and will not misuse it for illegal purposes. The Client agrees not to harm the Service Provider, or to use the InDoc EDGE to harm others.
In accordance with the Acceptable Use Policy, the Client is prohibited from:
Using the InDoc EDGE for illegal purposes or to infringe on the rights of third parties.
Intentionally damaging, disabling, overloading, or interfering with the operation of the InDoc EDGE or the Cloud.
Installing, using, or spreading spyware designed to collect information on the activities of others or malicious software designed to cause security incidents or breaches in the Cloud, InDoc EDGE, Integrations, or third-party services.
Attempting to gain unauthorized access to the Cloud, InDoc EDGE, Content, Integrations, or third-party services.
Using or attempting to use reverse engineering or other means to discover the workings or source code of the InDoc EDGE.
Using the InDoc EDGE to collect or use personal data without explicit consent.
Circumventing or attempting to circumvent contractually defined usage restrictions of the InDoc EDGE.
Sharing, loaning, or transferring User credentials for InDoc EDGE login.
Reselling, renting, or otherwise providing access to third parties to the InDoc EDGE, individual features, or parts of the InDoc EDGE for a fee.
Using the InDoc EDGE or any of its features to create applications, integrations, platforms, or services that fully or partially replace or compete with the InDoc EDGE.
Using the InDoc EDGE to upload, transfer, store, share, or otherwise use Content that was not created by the Client or for which they do not have all the necessary permissions, thereby violating copyrights, trademarks, or other proprietary intellectual or contractual rights of third parties.
Using the InDoc EDGE to harass, abuse, or personally attack others, or to upload, transfer, store, share, or otherwise use offensive, defamatory, hateful, threatening, violent, illegal, or otherwise harmful Content.
Using the InDoc EDGE in a way that disrupts or prevents adherence to traffic or safety signals or endangers the safety of others.
Using the InDoc EDGE in any manner that would enable the violation or circumvention of restrictive measures.
4.8 Violation of the Terms
In the event of a violation of the Terms or unauthorized use of the InDoc EDGE, the Service Provider has the right to temporarily or permanently suspend the Client's access to the InDoc EDGE until the violation is rectified, without prior notice. The Service Provider is not responsible for any damage caused to the Client due to the unavailability of Content in the InDoc EDGE, and the Client agrees to cover all costs incurred by the Service Provider in remedying the violation and restoring the InDoc EDGE to its original state.
If the Client does not rectify the violation within fourteen (14) calendar days from the temporary suspension of InDoc EDGE access or from the Service Provider’s notification, the Service Provider may immediately terminate the InDoc EDGE contract without a notice period, and the contractual relationship with the Client will cease.
4.9 Client’s Insolvency
The Client confirms that they are not in insolvency proceedings. If such proceedings are initiated against them, the Client must immediately notify the Service Provider. In such cases, the Service Provider has the right to terminate the InDoc EDGE contract without notice.
5 InDoc EDGE FEES AND PAYMENT TERMS
5.1 InDoc EDGE Fees
The Service Provider will charge the Client for the previous month's use of the InDoc EDGE based on the Terms, the applicable Price List, the selected business package, and the actual usage of the InDoc EDGE, including the usage of third-party services.
When calculating the amount of storage space occupied, measured in gigabytes (GB), every document, document version, necessary storage data, timestamps for ensuring authenticity, and the audit trail for tracking the use of the InDoc EDGE are included.
5.2 Payment Terms
The Client is obligated to settle their obligations to the Service Provider based on the issued invoice within the contractually agreed payment period. In the event of a late payment, the Client is required to pay statutory default interest, which accrues from the invoice due date until payment is made.
If the Client fails to settle their overdue obligations within thirty (30) calendar days from the due date, the Service Provider is entitled to disable the Client's access to the InDoc EDGE. In such cases, the Client is not entitled to compensation for any damages resulting from the suspension of the InDoc EDGE. The Client is entitled to restore the InDoc EDGE after settling all overdue and current obligations and submitting a request for the InDoc EDGE reactivation through the CPU portal, which will be charged according to the Price List.
If the Client fails to settle their financial obligations to the Service Provider after receiving a written reminder three (3) consecutive times or after ninety (90) calendar days from the receipt of the reminder, the Service Provider may notify the Client and terminate the InDoc EDGE contract without a notice period. In this case, the Service Provider will retain the Client’s Content for thirty (30) calendar days after the termination of the InDoc EDGE contract, after which the Content will be irreversibly deleted.
5.3 Price Changes
The Service Provider reserves the right to change the Price List.
The Service Provider will notify the Client of any changes to the Price List at least thirty (30) calendar days before the changes take effect, via email. If the Client:
Does not notify the Service Provider before the new Price List takes effect that they do not accept the changes, it will be considered that the Client agrees with the changes.
Does not accept the changes, they may terminate the InDoc EDGE contract before the new Price List takes effect.
Rejects the changes and does not terminate the InDoc EDGE contract, it will be considered that the Service Provider has terminated the InDoc EDGE contract with a six-month (6-month) notice period, starting from the day the Service Provider receives the Client’s rejection of the proposed changes.
In the event of changes to the business policy of a third-party product or service, the Service Provider agrees to notify the Client as soon as possible after becoming aware of the change.
The Service Provider adjusts InDoc EDGE prices once a year in proportion to the growth of the consumer price index published by the Statistical Office of the Republic of Slovenia. No additional notification of the Client is required for this price adjustment.
The Service Provider reserves the right to introduce promotional prices or discounts that will apply for a limited period. Such changes do not affect the existing InDoc EDGE contract unless otherwise specified in the special conditions of the promotion.
6 ANTI-CORRUPTION CLAUSE
The contracting parties declare that, at any stage of concluding or performing the Terms and the InDoc EDGE contract, neither party has offered, given, or promised any unauthorized benefits (such as money, gifts, incentives, rewards, etc.) to any employee or member of the management or supervisory bodies of the other party in order to secure a business deal, conclude a deal under more favorable conditions, neglect to oversee the performance of contractual obligations, or engage in any other act or omission that could cause harm to the other party or enable unauthorized benefits for any employee or member of the management or supervisory bodies of the other party. In the event of a violation or attempted violation of this clause, the InDoc EDGE contract shall be null and void.
7 TRANSITIONAL AND FINAL PROVISIONS
The contractual relationship between the Service Provider and the Client is concluded for an indefinite period.
Either party may terminate the InDoc EDGE contract at any time by providing written notice sent via registered mail with a six-month (6-month) notice period. The notice period begins on the day the registered mail is sent, and the InDoc EDGE contract terminates at the end of the notice period.
The Client must notify the Service Provider in writing of any changes to information affecting the use of the InDoc EDGE, in accordance with the Terms, within fourteen (14) calendar days of the change.
If any matter is not explicitly addressed by these Terms, the provisions of the Obligations Code of the Republic of Slovenia shall apply.
The Client and the Service Provider agree that the law of the Republic of Slovenia governs the Terms and that any disputes arising in connection with the Terms will be settled by the court with jurisdiction over the Service Provider's registered office.
